Welcome to OpenSky Intelligence. These Terms of Use (“Terms”) constitute a legally binding agreement between OpenSky Intelligence LLC (“we,” “us,” or “our”) and you, whether personally or on behalf of an entity (“you,” “client,” or “user”), concerning your access to and use of our website, AI models, computer vision systems, drone payloads, firmware, and professional security integrations (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you are prohibited from utilizing our platforms, custom codebases, or hardware frameworks.
1. Eligibility & Access Controls
- Commercial and Government Scope: Our Services are intended for professional enterprises, commercial logistics companies, critical infrastructure administrators, and law enforcement or security agencies.
- Authorized Access: You agree to provide accurate credentials and adhere to strict access controls. Sharing clearance identifiers, secure console access keys, or API tokens with unauthorized personnel is strictly prohibited.
- System Hardening: You are responsible for ensuring that the local systems, edge nodes, and hardware platforms you connect to our network comply with our security protocols.
2. Intellectual Property Rights
- Ownership of Technology: Unless otherwise indicated, all Services, including source code, database structures, AI architectures, neural network weights, computer vision algorithms, firmware, drone configuration specifications, graphics, design tokens, and website layouts (collectively, the “IP Assets”), are the proprietary property of OpenSky Intelligence LLC.
- License Restrictions: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access our dashboards and utilize our compiled systems solely for authorized internal operations.
- No Reverse-Engineering: You agree not to copy, reverse-engineer, decompile, disassemble, modify, or attempt to derive the underlying mathematical models, video parsing libraries, or proprietary object detection codebases of our software.
3. Acceptable Use Policy
You are strictly prohibited from using our systems or computer vision services to:
- Violate any applicable local, state, federal, or international security laws or operational regulations.
- Circumvent or attempt to breach access control systems, air-gapped deployments, or security handshake systems.
- Use the automated object classification tools to intentionally target, harass, profile, or track individuals in violation of standard civil liberties or regional human rights legislation.
- Conduct unauthorized load testing, vulnerability scanning, or performance benchmarking of our central servers.
4. Client Data & Stream Licensing
- Data Stream License: By supplying raw visual data feeds, video streams, or image datasets to our systems for analysis, custom model training, or diagnostic evaluation, you grant us a limited, secure, royalty-free license to parse and process the inputs strictly as required to fulfill our contractual service obligations.
- Data Authenticity: You represent and warrant that you possess all legal permissions, ownership rights, or surveillance licenses necessary to capture, process, and transmit the video streams and tracking feeds uploaded to our platforms.
5. Disclaimer of Warranties
- Operational Variability: Our computer vision, object detection, and behavioral analysis systems are highly advanced; however, classification accuracy rates (e.g., weapon detection or posture anomaly recognition) are subject to environmental conditions, camera resolution, illumination, and installation parameters.
- As-Is Provision: All Services, systems, hardware designs, and firmware are provided on an “AS IS” and “AS AVAILABLE” basis. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular operational scenario, and non-infringement.
6. Limitation of Liability
To the maximum extent permitted by law, OpenSky Intelligence LLC, its directors, employees, or tech partners shall not be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages (including loss of profit, loss of data, security downtime, or deployment interruptions) arising from:
- The use or inability to use our computer vision tracking models or automated security alert networks.
- Any system failures, false positives, false negatives, or delayed automated alerts during security incidents.
- Unauthorized access to system diagnostics resulting from compromised client credentials or insecure client-side APIs.
7. Indemnification
You agree to defend, indemnify, and hold OpenSky Intelligence LLC harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of:
- Your unauthorized deployment or misconfiguration of our tracking assets.
- Your violation of these Terms or infringement of intellectual property rights.
- Violations of statutory privacy or surveillance mandates within your operational jurisdiction.
8. Governing Law & Jurisdiction
These Terms and your use of our Services are governed by and construed in accordance with the laws of the State of Virginia, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Arlington County, Virginia.
9. Modifications to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of any revisions by updating the “Effective Date” at the top of this document. Your continued utilization of our platforms and Services following the posting of modifications constitutes acceptance of the new Terms.
